These Terms of Service (“Terms”) govern your access to and use of bifin.ai (the “Site”) and any subscription-based access to the AI Trading Systems Lab Journal and related materials (together, the “Services”), provided by Bifin Sàrl (“Bifin”, “we”, “us”, “our”).
By accessing or using the Site or Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

The Services provide access to an electronic journal and archive of experience-based operating notes and publications, including (by way of example):
Content is provided for informational, educational, and research purposes.
Bifin conducts autonomous systems research and engages in proprietary trading using its own capital. We do not manage client assets, do not accept trading instructions, and do not provide brokerage services to users.
Nothing on the Site or within the Services constitutes, or should be relied upon as:
Bifin does not provide personalized advice and does not consider your circumstances, objectives, or risk tolerance.
The Services may reference Bifin’s research into or use of public information, including corporate news and announcements, press released, statutory and regulatory corporate filings (such as made available through the U.S. Securities and Exchange Commission), publicly disclosed financial statments and markets where securities are listed (including the New York Stock Exchange and Nasdaq). Such references are descriptive and informational.
Past performance, historical results, or examples (if any) do not guarantee future results.
The Services are intended for professional, institutional, and business use. They are not designed for retail users.
By subscribing or using subscriber-only areas, you represent that you are using the Services in a professional or business capacity, and (if applicable) that you have authority to bind your employer or the entity you represent.
Access to the Journal is subject to review and manual approval by Bifin. We may request information reasonably necessary to assess eligibility and may grant or deny access at our discretion.
You must be at least 18 years old and have legal capacity to enter into these Terms.
We may implement measures to detect unusual activity and protect the Services (including rate limits, session controls, and access restrictions).
Unless otherwise stated in writing by Bifin, Journal access is offered on a recurring subscription at €149 per month, plus applicable taxes (including VAT where required).
Taxes are applied in accordance with applicable law and may depend on factors such as your location and status (e.g., whether you provide a valid VAT identification number where relevant). You are responsible for any taxes applicable to your purchase except taxes based on Bifin’s income.
Subscription onboarding and account access are provided through Memberstack. Payments are processed by Stripe.
Your use of those services may also be subject to their respective terms and policies. Bifin is not responsible for interruptions, errors, or outages caused by third-party providers.
Subscriptions are billed on a recurring monthly basis unless cancelled before renewal. You authorize recurring charges until cancellation.
If a payment fails or is reversed, we may suspend or terminate access until payment is successfully made. You remain responsible for all amounts due.
Subscription payment may be required before access is reviewed and activated.
If, after review, we decide not to grant you access, we will refund the subscription payment for that period. This refund mechanism applies to denial of access following review and is separate from voluntary cancellation.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until the end of that period unless your access is suspended or terminated under these Terms.
Except where required by mandatory law, no refunds are provided for partial billing periods or unused time following voluntary cancellation.
We may change subscription fees or pricing models from time to time. Changes apply prospectively and, where feasible, will take effect at renewal. If you do not agree to a fee change, you must cancel before the new fee takes effect.

All Content and Services (including text, documentation, design elements, and compilations), and all associated intellectual property rights, are owned by Bifin or its licensors and are protected by applicable laws.
Subject to your compliance with these Terms and payment of applicable fees, Bifin grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Content solely for your internal professional purposes.
No rights are granted except as expressly stated in these Terms.
If you provide suggestions, ideas, or feedback, you grant Bifin a perpetual, worldwide, royalty-free right to use, modify, and incorporate that feedback without restriction or compensation.
Subscriber-only Content (including the Journal archive and any materials behind a paywall) is proprietary to Bifin and made available on a limited-access basis.
You must treat subscriber-only Content as confidential and must not disclose it to any third party, except to the extent necessary for internal use within your organization by authorized personnel, and only where such sharing is consistent with the subscription you purchased and access controls in place.
Unauthorized disclosure may cause irreparable harm. Bifin may seek injunctive or equitable relief in addition to any other remedies available.
The Services may reference or include third-party materials (e.g., public disclosures, research, reports, or other content). Such materials remain the property of their respective owners.
Links to third-party sites are provided for convenience. Bifin does not control and is not responsible for third-party sites, content, products, or services.
We may modify, update, suspend, or discontinue any part of the Services at any time, including Content, features, or availability. We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free.
We may also impose limits on use (for example, to protect system integrity) and may restrict access to certain parts of the Services at our discretion.
To the maximum extent permitted by law, the Services and Content are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
You are responsible for evaluating the accuracy, completeness, and usefulness of any Content. You should not rely on Content as a substitute for professional advice.
To the maximum extent permitted by law:
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for fraud, wilful misconduct, or certain categories of gross negligence where limitation is prohibited).
You agree to indemnify and hold harmless Bifin, its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
We may suspend or terminate your access to the Services (in whole or in part) immediately if we reasonably believe that:
You may terminate by cancelling your subscription as described in Section 6.6.
Upon termination, your right to access and use the Services ends immediately (except where we allow continued access until the end of a paid term, unless terminated for cause). Sections that by their nature should survive termination will survive, including Sections 8–10 and 12–18.
Termination does not affect any payment obligations accrued before termination.
Our processing of personal data is described in our Privacy Policy, which forms part of the contractual framework for your use of the Services.
We may update these Terms from time to time. The “Last updated” date indicates when they were most recently revised. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
These Terms constitute the entire agreement between you and Bifin regarding the Services and supersede prior or contemporaneous communications on the same subject.
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Failure to enforce any provision is not a waiver of that provision.
You may not assign or transfer these Terms without Bifin’s prior written consent. Bifin may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Bifin is not responsible for delays or failures caused by events beyond its reasonable control.
These Terms are drafted in English. If a translation is made available, the English version will prevail to the extent permitted by law.
These Terms are governed by the laws of Luxembourg, without regard to conflict of law rules.
Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Luxembourg.
